THE ADMINISTRATIVE STRUCTURE OF THE CHAMBER

BOARD OF DIRECTORS: The Board shall be composed of fifteen (15) members, five (5) of whom shall be elected annually to serve for three years or until their successors are elected and have qualified. The governance and policy-making responsibilities of the Chamber shall be vested in the Board of Directors, which shall control its property, be responsible for its finances and direct its affairs. The Board’s members represent a broad cross-section of the business and professional community. It has always been considered an honor to serve on the board, and a proven interest in the Chamber and its objectives is the first requirement for board members. The Board of Directors derives its authority from the membership. Every board member represents the entire membership and community, not merely one type of business or industry or one section of the city.

EXECUTIVE COMMITTEE: The Executive Committee shall act for and on behalf of the Board of Directors when the Board is not in session but shall be accountable to the Board and will make recommendations to the full Board.  However, hiring, discharge, other pertinent personnel matters and all agreements or other legal matters must be approved by a majority vote of the full Board. The Executive Committee shall be composed of the President, Past President, President-elect, Division Vice-President, Treasurer and the CEO/Secretary.  The President of the Board will serve as chairman of the Executive Committee.

DIVISION VICE-PRESIDENTS: Division Vice-Presidents shall be chosen by the new President from the Board members. The new President shall designate the division of Chamber activity for which each of the Division Vice-Presidents shall be responsible for conferring with the administrative branch of the Chamber on ways and means by which full committee production can be motivated and achieved within their area of responsibility. Each will confer with the President, President-elect, and Treasurer with reference to coordinating programs, committee appointments, and financial needs.  Each will make monthly reports of division progress to the Board of Directors and will serve as the vehicle through which recommendations for proposed policy will be presented to the Board of Directors for decision.

THE BOARD'S RELATION TO THE STAFF: While the board is the legislative, and frequently the judicial, arm of the Chamber, administration of the policy is delegated to the Chamber staff. The board employs a Chief Executive Officer, who the Board of Directors hold responsible for the hiring of staff and the smooth, efficient running of the Chamber and approved programs. The relation of the board members to the Chief Executive Officer is advisory as it relates to other members of the staff.

CHAMBER PROGRAM STRUCTURE AND DIVISION/COMMITTEE HEADS

The Ridgecrest Chamber of Commerce is organized under five divisions:

  • Business Development
  • Advocacy
  • Member Services
  • Events
  • Operations

A Division Vice-President is selected to oversee and guide the activities of each of these divisions.

The divisions provide a way to classify Chamber activities, as well as a mechanism for tracking progress. Although Committee Chairmen are encouraged to report directly to the Board of Directors, the Division Vice-President is responsible for keeping the board abreast of committee activities in their assigned areas.
